  10. Supervise one employee who supports the administration of and accounting for the Company’s stock plans and transfer agent relationship.

MINIMUM EXPERIENCE
Two to five years of current stock plan administration in public company.

MINIMUM EDUCATION, TRAINING AND CERTIFICATIONS

  • Bachelor’s degree required or equivalent experience.
  • CEP certification preferred

Job Description:

The Stock Plan Manager will be responsible for all aspects of equity plan administration including management, administration, coordination, reporting, and reconciliation of our global equity compensation programs. He or she will also be responsible for managing the stock administration department including financial budgeting.

Responsibilities:

Current Need
The Executive Service Center Manager will serve as the single point of contact for executives (grades 112 and above) on all Compensation and Benefits related programs. As the executive concierge, the function will drive delivery of compensation and benefits programs, communications and messaging for this audience. Position Description
Facilitate and initiate high level of service for executive program participation. Proactively communicate programs to ensure they are personally understood and utilized by executive audience.

  • Anticipate issues such as vesting, payments, enrollments, elections and develop communications, processes and procedures to handle.
  • As issues and problems arise for executives, function will “own and solve the problem” on behalf of executive.
  • Pay administration and coordination: Monitor pay transactions and input results directly into Payroll systems, (e.g., cash LTIP payouts, executing cash payments based on plan performance).
  • Develop accurate, thorough processes/processing for executive events:

    3. Ensure compliance is carried out precisely for high profile issues, are handled in compliance with laws and regulations, and appropriate advance information is communicated to executives, e.g.:
      - security trading black out periods
      - §409(a) restrictions
    4. Relocations:
      - Manage fulfillment of McKesson commitment to executives
      - Act as liaison with vendors, employees, families to ensure timely and efficient moves

Minimum Requirements
Education/Training:

  • 4-year degree in Business, or related field or equivalent experience
  • NASPP, World at Work coursework, CEP Level One or higher
  • 8+ years compensation experience including 5+ years managerial experience

Preferred Experience/Skills:
Experience with Executive compensation and benefits. Personal tax or accounting experience, including thorough knowledge of state and federal laws pertaining to compensation and benefits.

Primary Responsibilities:

Position: Stock Plan Financial Analyst
Location: San Jose, CA
Contract Position - Nine month assignment

Job Description:

This position provides an opportunity for someone with strong analytical and project management skills in the Equity Compensation field. This position provides ongoing support for acquisition activities involving target company shareholders and target company employee equity programs. Financial Analyst will work very closely with Acquisition Managers – quality teamwork and excellences in communication skills are critical for successful delivery of services.

Responsibilities include:

  • Collect relevant information and prepare Equity Assumption Agreements (Summarizes the terms & conditions that Cisco is acquiring. Putting together a comprehensive stock spreadsheet so that the Assumption Agreements can be created by way of merging the documents)
  • Participate in the processes with Exchange Agent (Computershare), for smooth implementation of close – stock exchange, cash-out, or tender offer as per the terms and conditions of the Merger Agreement.
  • Define plan and implement equity awards assumption/upload into Cisco’s stock administration system
  • Monitor implementation of the appropriate acquisition integration procedures, including the handling of employee and/or shareholder inquiries. This may involve the following:
    • Review due diligence analysis of target company stock spreadsheet: audit, issue resolution, and provide recommendations. Prepare payment summary for funding of acquisition
    • Model the stock integration plan in Excel, typically including converting target stock and stock incentives to cash and/or stock, and modeling unique stock based incentive and retention mechanisms.
    • Create vest templates consistent with acquisition terms, and upload outstanding/assumed equity awards into stock administration database. In some cases, calculating and applying vesting for grants subject to IRS rule 409A. (This process needs to be documented. Since this is an ongoing effort, it should be a documented processed that is finalized.)
    • Release hold from employee stock account upon receipt of EAA/OAA. Define and coordinate processes to implement share exchanges and option assumptions.
    • Handling of assumed employee & shareholder inquires
  • Ongoing administration of options subject to 409A.
  • Assist the Acquisition manager with the delivery of cash and/or stock to target shareholders and employees. Coordinate escrow release process. Implement timely stock repurchases.

Qualifications

  • 2-3 years exposure to Stock Plan Services and/or Compensation, or related field.
  • BS/BA in Business, Finance or Accounting
  • CEP
  • Expert Excel skills(creating large financial spreadsheets, pivot tables....)
  • Excellent written and verbal communication skills.

Preferred:
Access Database experience is a huge plus.

The M&A Stock Plan Manager is responsible for the execution and end-to-end administration of all acquisition related stock plans.

Responsibilities include but are not limited to:
